Legal
Terms of Service
1. Agreement to these Terms
These Terms of Service (the Terms) are a legal agreement between Zip Chores, LLC (Zip Chores, we, us, or our) and the person or entity that registers for, accesses, or uses the Service (you, Customer, or Business). By creating an account, clicking to accept, or using the Service, you agree to be bound by these Terms. If you accept on behalf of a business, you represent and warrant that you have authority to bind that business, and you and the business are jointly responsible for compliance.
If you do not agree to these Terms, do not use the Service. Our Privacy Policy is part of these Terms and is incorporated by reference.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account and business information, for the users you invite and everything they do under your account, for keeping sign-in links and sessions secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use or security breach.
We may require verification of your identity or business and may refuse, suspend, or cancel an account as described in these Terms.
3. The Service; no professional advice
The Service is software for service businesses to quote, schedule, communicate, invoice, and take payments, and includes a business portal, a customer portal, a crew app, and a public website with a booking flow.
The Service is a tool. It does not provide legal, tax, accounting, financial, insurance, or other professional advice. You are solely responsible for your business, your pricing, your taxes, and your compliance with the laws that apply to you, including consumer-protection, privacy, marketing, and licensing laws. You must not rely on the Service or its output, including quotes, prices, schedules, routes, or generated content, as professional advice or as a guarantee of accuracy or completeness.
4. Your content and Customer Data
You own the business records you put into the Service, including your customers, quotes, jobs, invoices, notes, and website content (Customer Data). We do not claim ownership of Customer Data.
You grant Zip Chores, LLC a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of Customer Data solely to provide, secure, and support the Service on your documented instructions and as described in our Privacy Policy and Data Processing Addendum at /dpa. This license ends when Customer Data is deleted, except for copies retained in backups or as required by law.
You are responsible for Customer Data: for having a lawful basis to collect and use it, for its accuracy and legality, for the messages you send, and for your own privacy notices and consents. Where the EU or UK General Data Protection Regulation applies, you are the controller and Zip Chores, LLC is your processor, and our Data Processing Addendum at /dpa applies, including the Standard Contractual Clauses and the UK and Swiss addenda.
We may use aggregated or de-identified information that does not identify you or your customers to operate, analyze, and improve the Service.
We do not use Customer Data to train, fine-tune, or improve any Zip Chores, LLC or third-party artificial-intelligence model without your specific written instruction. We may use aggregated or de-identified information that cannot reasonably be re-identified to operate, analyze, and improve the Service, and we commit not to re-identify it.
5. Payments and Stripe
Payments are processed by Stripe through your connected Stripe account, or a Stripe account you create. Stripe's terms and processing fees apply to you. Zip Chores, LLC does not hold customer funds, is not a party to the transaction between you and your customer, does not set or mark up Stripe's processing fees, and is not responsible for Stripe's acts, omissions, or availability.
You are responsible for taxes, refunds, chargebacks, disputes, and the accuracy of the amounts you charge, and for complying with card-network rules and applicable payment law.
Zip Chores, LLC may charge a fee for use of the Service, as described at sign-up or on our pricing page. Fees are exclusive of taxes and are non-refundable except as required by law or expressly stated.
6. Acceptable use
- Do not use the Service to send unlawful, deceptive, harassing, or unsolicited messages, or to violate anti-spam, telemarketing, or consumer-protection law.
- Do not access another business's records, bypass access controls, or attempt to probe, scan, or breach the Service or its security.
- Do not upload malicious code, scrape or overload the Service, or interfere with its operation or the use of other customers.
- Do not use the Service to discriminate unlawfully or to infringe the rights of others.
- Do not resell, sublicense, or provide the Service to third parties except as we permit in writing, or remove or obscure our notices.
- Do not use the Service in violation of export-control or sanctions law.
7. Third-party services
The Service integrates with third parties such as Stripe, QuickBooks, Xero, and Google Maps. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. The availability of an integration may change or end.
8. Intellectual property
Zip Chores, LLC and its licensors own the Service, software, brand, documentation, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms.
You may not copy, modify, resell, sublicense, reverse-engineer, or create derivative works of the Service except as allowed by law, and you may not use our names, logos, or marks without our prior written permission. If you send us feedback or suggestions, we may use them without restriction or obligation to you.
9. Availability, changes, and beta features
We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service is provided as-is and may change. Features may be added, changed, or retired, and planned maintenance and material changes will be communicated where practical. Descriptions on our website are current capabilities, not a promise of future features unless stated in a signed agreement.
We may offer beta or preview features as-is, without warranties of any kind, and may change or discontinue them at any time.
10. Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate your account or access for a material breach of these Terms, non-payment, a risk to the Service or other users, or as required by law.
On termination, your right to use the Service ends. You may request an export of Customer Data before termination or within a reasonable period afterward, subject to legal and operational retention requirements, and we may delete Customer Data after the retention period. Provisions that by their nature should survive termination, including payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
11. Disclaimers of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, OUTPUT, AND INTEGRATIONS ARE PROVIDED 'AS IS' AND 'AS AVAILABLE,' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ZIP CHORES DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DATA WILL NOT BE LOST OR CORRUPTED, OR THAT QUOTES, PRICES, SCHEDULES, ROUTES, OR OTHER OUTPUT WILL BE ACCURATE OR COMPLETE. NO ADVICE OR INFORMATION OBTAINED THROUGH THE SERVICE CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIP CHORES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS, OR DATA, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIP CHORES' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO ZIP CHORES FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
These limits apply regardless of the theory of liability, whether in contract, tort, negligence, strict liability, or otherwise; they apply to all claims in the aggregate; and they are a fundamental basis of the bargain between the parties. Some jurisdictions do not allow certain limitations, so where a limitation is not enforceable it applies to the maximum extent permitted and the remaining limitations still apply.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, willful misconduct, or gross negligence, for death or personal injury caused by our negligence, or for any non-waivable statutory rights.
13. Indemnification
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Zip Chores, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or relating to: your Customer Data; your use of the Service; your products, services, and the messages you send; your violation of these Terms or of law; or your violation of the rights of a third party. We may assume the exclusive defense of any matter subject to indemnification, and you will cooperate with our defense.
14. Dispute resolution: binding arbitration
Please read this section carefully. It affects your legal rights and requires most disputes to be resolved by arbitration instead of in court.
Informal resolution. Before filing a claim, you agree to contact us at hello@zipchores.com and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration, on an individual basis, rather than in court. The arbitration will be administered by the American Arbitration Association under its Commercial Arbitration Rules, or by another administrator that Zip Chores, LLC selects, and the arbitrator will apply the governing law in Section 15.
Venue. The seat and venue of the arbitration will be a location selected by Zip Chores, LLC in its sole discretion, or may be conducted by videoconference or on written submissions where the administrator permits.
Arbitrator and award. The arbitrator may award the same damages and relief a court could award, and the award is final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party generally bears its own costs and fees, subject to the administrator's rules.
Class action waiver. To the maximum extent permitted by law, all disputes will be resolved on an individual basis only, and you and Zip Chores, LLC each waive any right to a trial by jury and to participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over a class without the consent of all parties.
Delegation. The arbitrator will decide all issues of arbitrability, including the scope, interpretation, and enforceability of this section, except for matters a court must decide by law.
Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information or to prevent unauthorized use of the Service.
Severability. If the class action waiver is found unenforceable as to a particular claim, that claim will be severed and proceed in court, and the remainder of this section will apply.
15. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and, where applicable, by the federal laws of the United States. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 14, the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to venue and personal jurisdiction there.
16. Consumer and international rights
Nothing in these Terms is intended to limit any right you have under mandatory consumer-protection or other laws that cannot be waived, including in the European Economic Area, the United Kingdom, Switzerland, Australia, Canada, Brazil, and other jurisdictions. Where such law applies and conflicts with a provision of these Terms, including the arbitration and limitation-of-liability sections, that provision applies only to the maximum extent permitted, and the rest of these Terms remain in full force and effect.
17. General provisions
Entire agreement. These Terms and the Privacy Policy are the entire agreement between the parties on this subject and supersede prior or contemporaneous discussions and proposals.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
Notices. We may provide notice to you by email, in the product, or by posting on our website. You are responsible for keeping your contact details current.
No waiver. Our failure or delay in enforcing any provision is not a waiver of that or any other provision.
Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect.
Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
Relationship. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
Third-party beneficiaries. There are no third-party beneficiaries of these Terms, except that our affiliates, officers, directors, employees, and suppliers are beneficiaries of the disclaimers, limitation of liability, and indemnification sections.
